Article 1 – Definitions

For the purpose of these terms, the following definitions apply:

1.1. SB Supply: the trade name of the provider of the affiliate program, located at SB Supply Europe B.V. – Batterij 7, 7141 JL, GROENLO, registered with the Chamber of Commerce under number 65916034.
1.2. Creator: any natural or legal person entering into an agreement with SB Supply to participate in the affiliate program.
1.3. Affiliate link: a unique URL assigned to the creator used by SB Supply to track sales.
1.4. Discount code: a personal discount code issued by SB Supply and linked to the creator, intended for third-party promotion.
1.5. Commission: the compensation a creator is entitled to based on tracked sales via the affiliate link or discount code.
1.6. Campaign period: the predetermined period during which the collaboration and tracking are valid.
1.7. Tracking data: data related to clicks, conversions, sales or other visitor behavior via the affiliate link or discount code.
1.8. Official channels: all personal and verifiable media channels owned and controlled by the creator, such as websites, newsletters, and social media accounts.

Article 2 – Payout & Administration

2.1. Payout term
Commissions are paid within ninety (90) days after the agreed campaign period ends. SB Supply reserves the right to temporarily suspend payouts in case of returns, technical issues, fraud investigations, or operational circumstances.

2.2. Minimum payout threshold
Commissions are only paid out if the total amount is at least fifty euros (€50) excluding VAT. Amounts below this threshold will not be paid and will expire without the right to carry over unless otherwise agreed in writing.

2.3. Return policy
If a customer returns an order for which commission was granted, the commission will be fully revoked. Refunds, cancellations or chargebacks will be offset against the outstanding balance.

2.4. Accountability and invoicing
If the creator is a business, invoicing must comply with applicable legal requirements. The creator is responsible for reporting and paying VAT and other taxes.

2.5. Administrative overview
SB Supply maintains a digital record of sales and tracking. This record is leading unless demonstrable errors are reported within 14 days of being made available.

Article 3 – Campaign Period & Validity

3.1. Validity of affiliate link / discount code
The validity of the tracking link or discount code is agreed upon in writing in advance, with a standard duration of 30 days after the first click or activation. Only sales within this validity period are eligible for commission.

3.2. Link and code management
SB Supply reserves the right to temporarily pause or permanently remove tracking links and/or discount codes due to strategic changes, inactivity, abuse, or underperformance.

3.3. Content obligation
Content containing a tracking link or discount code must remain online for at least 30 days, or as long as the tracking is active. Premature removal without written approval will void the related commission.

Article 4 – Tracking, Content Control & Usage

4.1. Tracking & attribution
Only sales registered via the creator’s personal affiliate link or discount code entitle them to a commission. The use of external tracking software, cashback sites, deal websites or double links is prohibited.

4.2. Access requirement
SB Supply has the right to request access at any time to:

• Statistics of published content (such as views, clicks, engagement);
• Social media dashboards or screenshots;
• Availability and visibility of the published content.

4.3. Original content
All published content must be fully original and self-created. Use of stock material, AI-generated content or purchased images is only allowed with written approval from SB Supply.

4.4. Publication channels
The affiliate link or discount code may only be shared through the creator’s official personal channels. Posting on deal websites, forums or coupon platforms (such as Pepper.com, Reddit, etc.) is prohibited.

4.5. Ban on paid advertising
Use of tracking links or discount codes in paid advertisements (such as Meta Ads, TikTok Ads or Google Ads) is only allowed with prior written consent from SB Supply.

4.6. Honest communication
Misleading communication is prohibited. Terms such as “free,” “sponsored by Apple,” or similar brand references may not be used without approval.

Article 5 – Fraud, Abuse & Termination

5.1. Personal purchases
Commissions are not granted on purchases made by the creator, their family or acquaintances. SB Supply may conduct checks based on IP addresses, delivery addresses, or order patterns.

5.2. Fraud & abuse
In the event of detected fraud (including self-purchases, forced clicks, bots, artificial promotion or fake content), all outstanding and future commissions will be immediately revoked and the partnership will be terminated.

5.3. Termination
SB Supply reserves the right to terminate the partnership immediately in the following cases:

• Violation of these terms;
• Consistently failing to meet agreements, KPIs or targets;
• Unauthorized use of tracking links or discount codes.

Article 6 – Intellectual Property

6.1. Ownership of content
Content created by the creator remains their property. SB Supply obtains a non-exclusive, worldwide, royalty-free license to use such content for promotional purposes.

6.2. SB Supply promotional materials
SB Supply may provide promotional materials. Modifying this material without permission is not allowed.

6.3. Trademark rights
Use of SB Supply’s or its suppliers’ brand names, logos, or trademarks is only permitted within the campaign and with written consent.

Article 7 – Privacy & Data Processing

7.1. Data processing
SB Supply processes personal data of creators solely for managing the partnership, in accordance with the GDPR.

7.2. Use of tracking data
Tracking data is only used to determine commissions and optimize campaigns, unless otherwise agreed.

7.3. Customer data prohibition
The creator is prohibited from collecting, using or sharing SB Supply’s customer data.

7.4. Security
Both parties shall implement appropriate technical and organizational measures to protect personal data.

Article 8 – Liability

8.1. Exclusion of liability
SB Supply is not liable for any direct or indirect damage, lost income, or consequential damages resulting from participation in the affiliate program, unless due to intent or gross negligence.

8.2. Indemnification
The creator indemnifies SB Supply against all third-party claims resulting from actions contrary to these terms.

Article 9 – Final Provisions

9.1. Changes to terms
SB Supply may unilaterally amend these terms. The creator will be informed in a timely manner. Continued use of the affiliate program implies acceptance.

9.2. Governing law
These terms are governed exclusively by Dutch law.

9.3. Disputes
Disputes will be submitted exclusively to the competent court in the district where SB Supply is legally established.

9.4. Assignment
The rights and obligations under these terms may not be assigned to third parties without written consent from SB Supply.

9.5. Severability
If any provision is invalid, the remaining provisions will remain in full force. The parties will replace the invalid provision with one that best reflects the original intent.
